What Is a Deal Room?

A deal room is a centralized repository of key company documents that investors will want to review before making funding decisions. Traditionally, these were physical rooms filled with important folders and paperwork. Today, digital deal rooms are essentially cloud storage, ranging from organized Google Drive folders to dedicated software like Notion, Sharevault, and Digify.

Deal rooms serve two key purposes:

  • For Founders: A deal room helps keep track of critical business documents, ensuring that everything is in one place and readily accessible when needed.
  • For Investors: A deal room demonstrates that a founder is prepared, competent, and transparent, offering reassurance that key details are accounted for before they commit capital.

Deal rooms are more than a “nice-to-have” feature; they are increasingly seen as a best practice in fundraising. They show investors that you understand your business trajectory, have tied up loose ends, and are transparent about your company’s growth.  MFN acceleration programs required participants to complete a deal room, helping founders simulate the rhythm of filing documents that represent a company to potential investors.

What to put in your deal room?

  • Pitch Deck – A brief overview that outlines the company’s vision, product, and financial information.
  • Corporate Filings – Legal structure, incorporation documents, and compliance records.
  • Financials – Current financial status, fundraising goals, past investment rounds, and any grant awards.
  • Intellectual Property (IP) Information – Patents, trademarks, copyrights, and other IP assets.
  • Market Research – Industry insights, customer data, and competitive analysis.
  • Team Biographies – Backgrounds of key team members.

A strong deal room is both an organizational and presentation tool. More than just a folder of documents, a deal room tells the story of your business in a structured, investor-friendly way.

MFN Deal Rooms are stored on MFN/Lever Google Workspace. Only the following people will have access to your Deal Room:

 

  1. You and any members of your team that you designate. You will have editing privileges, and can add others with editing privileges at your discretion.
  2. MFN/ Lever staff will have administrative access, but we will not give access to any third parties without your consent.
  3. Investors that you select.

 

Your Deal Room will have all of the security protections provided by Google.
